Typically the IPO price is set by valuing the company, based on the perceived value of the company as determined by current and potential earnings, and then dividing that value by the number of shares to be offered. Once sold through the IPO, the shares are then traded among individuals and the price will rise or fall depending on future earnings of the company.

Each share of common stock represents a fractional ownership stake?in the company. Each holder of common stock therefore has a say in how the company is run and gets a share of the profits. The amount of the say and the size of the share of the profits is determined by how many shares are held. For example, in voting on propositions individuals typically get one vote per share; therefore, if an individual owns a majority of the shares she can control the outcome of the vote and therefore the direction of the company. Likewise, dividends are issued on a per-share basis so the more shares you own the mgreater your share of the profits.

After the IPO, additional shares of the company may be?sold in what is called a secondary offering, either from the portion of the company retained by the company (for example, if only 30% of the control of the company was sold during the initial offering, the company could issue shares representing control of another 10%)?or by further dividing the value of the company. In this latter situation, the majority of the shareholders must approve of the issuance of further shares since each share will then be worth a smaller percentage of the company after the secondary offering. Because the company receives additional funds which can be used for acquisitions, expansions, and other activities, however, the actual value of each share may not decrease (each share is worth a smaller percentage of the pie but the pie is bigger).

Common stocks are generally more risky than bonds and other investments like bank CDs since the investor is assuming an ownership stake in the company and therefore there is no guarantee of returns. This means that if the company loses money, the value of the ownership, and therefore the value of each share of stock, will decrease. ?If a company continues to lose money there will be no profits to split.? Despite stocks being more risky than many investment options, there are good reasons to hold stocks. Among these:

1) Stocks can beat the rate of inflation, leading to growth in capital. Of the various investment options, stocks are one of the few that provide enough of a return to beat inflation. If you are saving for retirement, the dollars you invest today in money market funds, treasury bonds, and the like will be worth only a fraction of their value when you retire. Real estate (that you buy fully for cash) will on average just track the level of inflation (although there are special situations if you are investing in specific properties and know what you are doing). Common and preferred stocks hold a nice place in the risk curve where you can beat inflation but?still put the odds in your favor.

2) Long-term holding of stocks allows compounding through the delay of taxes . Capital gains taxes on stocks do not come due until the stock is sold. This means that investors who hold stocks for long periods of time get to enjoy the benefit of compounding for years without paying taxes on the capital gains until the shares are sold. Warren Buffett and Bill Gates have paid very little in the way of taxes, despite their enormous wealth, because most of their wealth is in stock in their companies. Because they sell only a few shares each year, their tax bill as a percentage of their wealth is very small. Warren Buffett will actually never pay taxes on the bulk of his wealth because he donated it to the Bill and Melinda Gates Foundation.

By contrast, those earning a paycheck see 25-35% of their earnings taken by state and federal income taxes and another 15% taken by payroll taxes before they even see it.

3) Investing in stocks requires much less effort than some other types of investments. Real estate can be a great investment if you know what you?re doing, but you often need to have it as your hobby. If you want to buy, renovate, and resell houses, count on spending many hours at the house doing a lot of the work. Even if you contract the work out, losing much of your profit, you will rarely find someone with as much commitment to the project as you do since it is not their house.

With long-term investing in stocks, you simply need to spend a little time finding stocks to purchase, call a broker or enter trades on a website, and then monitor the stocks once in a while. Because good investing is long-term and based on the business, rather than on the short-term fluctuations in price, it really doesn?t require a big time commitment.

Hesco is becoming a household name in flood-prone areas along the Mississippi River ? and for good reason. So-called Hesco baskets are holding back the high water from hospitals, power substations and residential areas.

Hesco baskets, named after the company that makes them, don't appear high-tech. They look like wire trash cans lined with fabric. They come in 15-foot-long sections that collapse down to 4 inches tall. One 18-wheeler can haul in a mile of flood protection. Pop them up, fill them with sand, and two people can fill the equivalent of 1,500 sandbags in 20 minutes.

National Guard crews have been working round the clock, Sgt. Tehdrick Burton says. "We have gotten these down pretty well. It's almost second nature with these."

In south Louisiana, Hesco baskets stretch for miles along low-lying roads, around schools and atop existing levees.

"It's much easier and quicker," says Duvall Arthur, the emergency preparedness director for St. Mary Parish. "You can cover so much more territory with these. You clip them together, you fill them with sand, and you're through with them."

Some of the Hescos are being reused from Hurricane Katrina. That recycling helps make them cheaper than sandbags. The Army Corps of Engineers found the baskets cost as much as $5,000 less per thousand feet.

Making Sure The Baskets Hold

Dennis Barkemeyer, HESCO's senior technical representative, has been in the field since January, following floodwaters from Canada all the way to Amelia, La. At the same time, the company's production facility in nearby Hammond has been operating seven days a week ? though workers did get a few hours off for Mother's Day.

With an estimated 10 miles of wire baskets in St. Mary Parish alone, Barkemeyer uses a golf cart to drive along them. The vehicle is courtesy of the local country club.

"I don't mind walking a few miles, but this being month five of flood-fighting, it's nice to have a little help from the golf course," he says. Barkemeyer watches for tilted baskets or connections that haven't been properly locked down.

"Y'all just going on top and to the bottom?" he calls out to one crew. "Thank you."

Ninety-Nine Percent Isn't Good Enough

National Guard troops are accustomed to the technology. Many have used Hesco baskets in Iraq and Afghanistan, where they fortify forward operating bases. When they're employed to hold back water, however, Barkemeyer says attention to detail is critical.

"If we are 99-percent successful here, we lose," he says. "So unless you're perfect on your efforts, it's non-success."

So far, the Hesco baskets have impressed emergency officials. In Vidalia, La., a pyramid of Hescos withstood 8 feet of the swollen Mississippi River.

Now that he's gotten his hands on some, Arthur says he'd be happy to fold up the Hescos for another rainy day.

"I know the Corps bought them," he says. "I'm sure they're going to want them back, but we're hoping to keep some of them to help us in the future."

Two years ago, I wrote a post suggesting that there were serious conversations going on at a high level within the U.S. government about whether or not it might someday support the candidacy of a non-U.S. citizen to be the head of the World Bank. At the time, I heard from senior officials that there was a real openness to do so. There was even speculation that Brazil's President Lula might be a candidate.

Since then several things have happened. Lula has handed over the presidency of Brazil to his protege, Dilma Rousseff. There was allegedly a conversation between him and France's President Sarkozy at one point about the World Bank job and Lula immediately demurred, expressing no interest in it.

And, at the U.S. Treasury, there has been a reported change of heart. The current inclination is to stick with tradition, in part because of a "campaign" by World Bank President Robert Zoellick to persuade senior officials that the Congress will not tolerate a non-U.S. president at the Bank and would stop supporting the institution were such a change to take place.

The reports of this shift in views come at the same time that Europeans are arguing that a European must remain at the helm of the IMF due to the special demands of the moment.

Of course, the special demands of the moment they cite are that Europe is in precarious financial shape thanks to widespread and extraordinary financial mismanagement by the continent's elites ? either because they let their national deficits balloon up or, in countries where the conditions are less dire, because they didn't fully realize the degree to which their countries were on the hook for the more feckless members of the Eurozone.

It's not a pretty picture: Europe and America using the fact they are bleeding red ink to argue that their continued leadership of the world's most important international financial institutions is essential. It is the textbook illustration of the definition of chutzpah: the child who murders both his parents seeking mercy because he is an orphan.

The current financial mess that Europeans and Americans have played such a central role in manufacturing should actually, of course, disqualify them from continuing in their familiar leadership roles ? if the rise of new powers did not already make such a compelling case that the time for change has come.

Some argue that the developed powers should hold onto the reins because only representatives of those powers have the network of private financial contacts necessary to do their jobs. Such a view ignores the reality of modern global financial markets and the fact that many of the world's most well-connected and prominent financial leaders are from outside the U.S. and Europe.

Others argue that the developed powers should not pass the baton until the emerging powers pay for the privilege of leadership by paying in more capital. Such an argument would suggest that only the number one and two donors should rule the roost (not the case) or that an outsider might not better serve the collective interests of the donor countries (also not the case).

For the record, China's two development banks lent more money in 2009 and 2010 than did the World Bank, as well.

In other words, the world's leading development bankers actually now come from the developing world.
